To the extent permitted by law, Green Ivy Ventures and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of your use or inability to use the Services.
In no event shall our total liability to you for all claims arising from or related to the use of the Services exceed the amount you have paid to us for use of the Services in the past six months.

You agree to indemnify and hold Green Ivy Ventures and its affiliates, officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising from or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Our Services may contain links to third-party websites or services that are not owned or controlled by Green Ivy Ventures. We are not responsible for the content, privacy policies, or practices of any third-party websites. We encourage you to read the terms and privacy policies of any third-party sites you visit.

These Terms are governed by and construed in accordance with the laws of the Massachusetts. Any disputes arising from these Terms or your use of the Services will be subject to the exclusive jurisdiction of the courts located in Massachusetts.
14. SMS Messaging
Green Ivy Ventures operates Kalie, an automated text-messaging service that
responds to calls placed to designated Green Ivy Ventures / Kalie phone
numbers, including demonstration and marketing numbers.
By calling a number associated with this program, or by otherwise providing
your phone number and consenting to receive messages, you agree to receive automated text messages from Kalie — including marketing messages — at the number provided.
- Message frequency varies.
- Message and data rates may apply, as charged by your wireless carrier.
- You may opt out at any time by replying STOP. You will receive one final
message confirming the opt-out. - Reply HELP for assistance, or contact us at privacy@greenivy.io.
- Consent to receive text messages is not a condition of purchasing any
goods or services. - Green Ivy Ventures is not liable for delayed or undelivered messages.
This SMS program applies only to phone numbers designated for Green Ivy
Ventures / Kalie marketing use. Other Kalie phone numbers, provisioned on
behalf of individual business customers, are transactional only and are
governed by Kalie’s own Terms of Service at kalie.ai/terms.
15. Changes to These Terms
We may update these Terms from time to time. Any changes will be effective immediately upon posting the revised Terms. Your continued use of the Services after such updates constitutes your acceptance of the new Terms.
